1. Introduction
These Terms and Conditions govern the provision of Social Media Marketing (SMM) and Lead Generation services by Yourshield Solutions LTD ("Company," "we," "us," or "our"). By engaging our services, you ("Client," "you," or "your") agree to comply with and be bound by these terms.
2. Services Provided
The Company agrees to provide the Client with SMM and Lead Generation services, which may include but are not limited to content creation, social media account management, paid advertising, lead capture, and campaign optimization.
3. Client Responsibilities
· Provide all necessary materials, information, and access required for service execution.
· Ensure compliance with relevant laws and platform policies.
· Respond to inquiries and approvals in a timely manner to avoid delays.
4. Payment Terms
· Fees for services are outlined in a separate agreement or invoice.
· Payments are due as per the agreed schedule; failure to pay may result in service suspension.
· Any additional costs (e.g., paid ads, third-party tools) must be pre-approved by the Client.
5. Performance and Results
· While we strive to achieve the best possible results, we do not guarantee specific outcomes such as sales, revenue, or lead conversions.
· Performance metrics will be based on industry standards and best efforts.
6. Intellectual Property
· The Client retains ownership of all content provided to the Company.
· Any content created by the Company as part of the service may be used for portfolio and marketing purposes unless otherwise agreed in writing.
7. Confidentiality
Both parties agree to maintain the confidentiality of sensitive business information shared during the engagement.
8. Termination
· Either party may terminate the agreement with 90 days’ written notice.
· No refunds will be provided for work already completed.
· Any outstanding payments must be settled upon termination.
9. Liability Limitation
· The Company is not liable for any indirect, incidental, or consequential damages arising from the services.
· The Client is responsible for ensuring compliance with applicable laws and regulations related to marketing and advertising.
10. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Cyprus Republic.
11. Amendments
We reserve the right to update these Terms and Conditions at any time. Continued use of our services constitutes acceptance of the revised terms.
